Sponsored Placement Terms

1. Overview

These Sponsored Placement Terms ("Terms") govern the purchase and delivery of sponsored or promoted placements on the SATILYTE platform (the "Service"), including promoted artist positions, featured slots, and other paid visibility products ("Sponsored Placements"). These Terms supplement our Terms of Service. By purchasing a Sponsored Placement, you agree to these Terms.

2. Placements and Tiers

• Sponsored Placements are offered in defined packages and placement tiers, described at the time of purchase.
• Placement duration, position, and inventory are limited and allocated on availability. SATILYTE may substitute a comparable placement where necessary.
• The specific visual treatment, position, and rotation of Sponsored Placements are determined by SATILYTE and may change to preserve platform quality and user experience.

3. Clear Labeling and Disclosure

Sponsored Placements are identified as "Sponsored," "Promoted," or with similar labeling to comply with advertising-disclosure requirements. You agree not to remove, obscure, or misrepresent such labeling, and you acknowledge that SATILYTE may apply labeling as required by law or platform policy.

4. No Guarantee of Performance

A Sponsored Placement purchases visibility, not results. SATILYTE does not guarantee any specific number of impressions, clicks, plays, followers, streams, chart movement, viral score change, or revenue. Reported metrics are estimates and may be affected by third-party data, filtering of invalid activity, and technical limitations.

Sponsored Placements do not influence how viral scores are calculated. Purchasing a placement does not alter, inflate, or guarantee any score, ranking, or editorial position beyond the paid visibility itself.

5. Content Standards and Rights

• You represent that you own or control all rights to the content promoted through a Sponsored Placement and that it does not infringe any third-party right or violate any law.
• Promoted content must comply with our Acceptable Use Policy and applicable advertising standards.
• SATILYTE may review, reject, pause, or remove any Sponsored Placement that violates these Terms, our policies, or applicable law, or that is the subject of a credible complaint.

6. Payment

Fees are due in advance and processed through our third-party payment processor. All fees are stated in the applicable currency and exclude taxes unless stated otherwise. You are responsible for any applicable taxes. Non-payment or a failed/charged-back payment may result in immediate suspension of the placement.

7. Cancellation and Refunds

Cancellation and refund eligibility for Sponsored Placements are governed by our Refund Policy. Amounts corresponding to placement time already delivered are generally non-refundable. SATILYTE may issue a pro-rated credit or refund at its discretion where a placement was not delivered as described.

8. Editorial and Platform Discretion

SATILYTE retains full editorial control over the Service. Nothing in these Terms obligates SATILYTE to display content that it reasonably determines is harmful, misleading, unlawful, or inconsistent with the platform’s standards, and SATILYTE may adjust placement mechanics to protect users and the integrity of the Service.

9. Limitation of Liability and Indemnity

To the fullest extent permitted by law, SATILYTE’s total liability arising from a Sponsored Placement is limited to the amount you paid for that placement. You agree to indemnify SATILYTE against claims arising from your promoted content or your breach of these Terms.
